These Terms of Use apply to Wedly Wedding Planner App by Nitro Collections (“Wedly”), a product sold and operated by Tauren Enterprises trading as Nitro Collections.

Introduction

These Terms of Use (“Terms”) govern your access to and use of Wedly, including the Wedly website, mobile application, and related services (“Services”).

In these Terms, “Wedly”, “we”, “our”, and “us” refer to Tauren Enterprises trading as Nitro Collections, the business responsible for providing the Wedly Wedding Planner App by Nitro Collections.

By creating an account, accessing, or using Wedly, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use Wedly.

Eligibility

You must be at least 18 years old to create an account and use Wedly.

By using Wedly, you confirm that:

• you are legally capable of entering into binding agreements

• the information you provide is accurate and current

• you will use Wedly in accordance with these Terms and applicable laws

Account Responsibility

You are responsible for:

• maintaining the confidentiality of your account credentials

• all activity conducted through your account

• ensuring your account information remains accurate

You must notify us immediately if you suspect unauthorised access to your account.

Tauren Enterprises trading as Nitro Collections is not liable for losses caused by unauthorised account access resulting from your failure to maintain account security.

Subscription and Billing

Paid Subscription

Wedly operates on a paid subscription basis.

By subscribing, you authorise recurring billing using your selected payment method.

Subscription pricing, billing frequency, and trial periods are displayed at the time of purchase.

Free Trials

Where offered, free trials are limited to one per user, household, payment method, and/or device unless otherwise approved by Tauren Enterprises trading as Nitro Collections.

We reserve the right to:

• refuse, revoke, or terminate free trial access

• deny eligibility for future trials

• suspend accounts suspected of abusing free trial offers

• restrict access where duplicate or fraudulent activity is detected

Any attempt to create multiple accounts or use alternate payment methods, email addresses, devices, or identities to obtain additional unauthorised free trials may result in immediate account termination.

Subscription Renewals

Subscriptions renew automatically unless cancelled before the next billing date.

You are responsible for managing your subscription and cancellation timing.

Cancelling a subscription prevents future billing but does not automatically entitle you to a refund for prior charges.

Refund Policy

Change of Mind

Tauren Enterprises trading as Nitro Collections generally does not provide refunds for:

• change of mind

• unused time remaining on a subscription

• accidental purchases

• failure to use the service

• dissatisfaction where the service has been substantially delivered

You are responsible for evaluating Wedly during any available trial period before continuing with a paid subscription.

Abuse and Fraud Prevention

Refund requests associated with:

• repeated free trial usage

• multiple account creation

• suspicious payment activity

• intentional abuse of subscription systems

• chargeback abuse

• unauthorised payment disputes

may result in:

• immediate account suspension

• permanent account termination

• denial of future access

• submission of evidence to payment providers during disputes

Tauren Enterprises trading as Nitro Collections reserves the right to challenge chargebacks where services were successfully provided.

Australian Consumer Law

Nothing in these Terms excludes rights that cannot legally be excluded under Australian Consumer Law.

Where required by law, Tauren Enterprises trading as Nitro Collections will provide remedies consistent with applicable consumer protection legislation.

Acceptable Use

You agree not to:

• use Wedly unlawfully or fraudulently

• attempt to interfere with or disrupt the platform

• reverse engineer, copy, scrape, or exploit the platform

• upload malicious code or harmful content

• abuse, harass, or threaten other users

• use Wedly to distribute spam or unlawful material

• attempt to bypass subscription or payment systems

• access accounts, data, or systems without authorisation

We reserve the right to suspend or terminate accounts that violate these Terms.

User Content

You retain ownership of the content you upload or create within Wedly.

By uploading content, you grant Tauren Enterprises trading as Nitro Collections a limited licence to:

• host

• store

• process

• display

• transmit

that content solely for the purpose of operating and improving Wedly.

You are responsible for ensuring you have the right to upload and use any content submitted to Wedly.

You must not upload content that:

• infringes intellectual property rights

• is unlawful or defamatory

• contains malicious software

• violates privacy rights

Tauren Enterprises trading as Nitro Collections reserves the right to remove content that breaches these Terms.

Platform Availability

While we aim to provide reliable service, Wedly does not guarantee uninterrupted or error-free availability.

The platform may occasionally be unavailable due to:

• maintenance

• updates

• technical failures

• third-party outages

• events outside our control

Tauren Enterprises trading as Nitro Collections may modify, suspend, or discontinue features at any time.

Data and Backups

Tauren Enterprises trading as Nitro Collections performs reasonable data storage and protection measures.

However, you acknowledge that:

• no system is completely secure or error-free

• you are responsible for maintaining copies of important information where appropriate

• Tauren Enterprises trading as Nitro Collections is not liable for incidental data loss beyond obligations required by law

Intellectual Property

All intellectual property relating to Wedly Wedding Planner App by Nitro Collections, including:

• branding

• software

• interfaces

• designs

• graphics

• functionality

• written content

• content created by Tauren Enterprises trading as Nitro Collections

remains the property of Tauren Enterprises trading as Nitro Collections and its licensors.

You may not reproduce, distribute, modify, copy, reverse engineer, resell, or commercially exploit Wedly without written permission from Tauren Enterprises trading as Nitro Collections.

Limitation of Liability

To the maximum extent permitted by law:

• Wedly is provided on an “as is” and “as available” basis

• Tauren Enterprises trading as Nitro Collections excludes all warranties not expressly stated in these Terms

• Tauren Enterprises trading as Nitro Collections is not liable for indirect, incidental, special, or consequential losses

• Tauren Enterprises trading as Nitro Collections’ total liability is limited to the amount paid by you to Wedly in the 12 months preceding the relevant claim

This includes, but is not limited to:

• lost profits

• lost opportunities

• data loss

• event disruptions

• emotional distress

• third-party service failures

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

Termination

Tauren Enterprises trading as Nitro Collections may suspend or terminate accounts at any time where:

• these Terms are breached

• payment obligations are not met

• fraudulent or abusive activity is detected

• platform security is threatened

• continued access may expose Tauren Enterprises trading as Nitro Collections to risk or liability

Upon termination:

• access to Wedly may cease immediately

• stored content may eventually be deleted

• refunds will not generally be provided unless required by law

Third-Party Services

Wedly may integrate with third-party providers including payment processors, authentication systems, analytics tools, and cloud infrastructure providers.

Tauren Enterprises trading as Nitro Collections is not responsible for third-party service availability, content, policies, or actions.

Use of third-party services may also be subject to separate terms and policies.

Changes to These Terms

Tauren Enterprises trading as Nitro Collections may update these Terms from time to time.

Updated Terms become effective once published.

Continued use of Wedly after changes are published constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws of South Australia, Australia.

Any disputes arising from these Terms or use of Wedly will be subject to the exclusive jurisdiction of the courts of South Australia.
